Local Director Services

For overseas businesses, when you’re setting up a new business or a subsidiary in Australia, the Corporations Legislation requires you to appoint a director who lives there. If you’re a private company, you’ll need at least one director residing in Australia and if you’re a public company, you’ll need at least three.

A&A can assist clients with a local Australian resident Director service, subject to a review of your circumstances.

Initially we will:

• Understand your financial position (if not newly incorporated) and that of the parent and its ability to support the Australian operations
• Review your company’s structure through an ASIC search (if not newly incorporated)
• Confirm your company fully complies with its obligations with the ATO, ASIC and other Government organisations that it operates under.
• Where required, understand why a director has resigned or is being replaced.

Given the responsibilities and, sometimes, personal liability involved in offering this service, to safeguard our interests we also require from you, as owner:

• a fully executed Deed of Indemnity
• a letter of financial support (in certain circumstances)
• coverage by a Directors’ and Officers’ insurance policy.
